Prospective Franchisee Non-Disclosure Agreement
PROSPECTIVE FRANCHISEE NON-DISCLOSURE AGREEMENT
Effective Date: January 16, 2026
This Non-Disclosure Agreement (“Agreement”) is entered into by and between:
Franchisor:C4 Mobile Gaming, LLC990 Peachtree Industrial BLVD, Suite 2491Suwanee, GA 30024(Hereinafter referred to as “Franchisor”)
Prospective Franchisee: (Hereinafter referred to as “Prospect”)
The Prospect acknowledges that during the evaluation of a potential franchise opportunity with C4 Mobile Gaming, the Franchisor may disclose certain confidential and proprietary information. This Agreement sets forth the obligations of confidentiality to protect that information.
“Confidential Information” includes, but is not limited to:
Franchise structure, business strategies, and operational methods.
Financial models, projections, and fee structures.
Marketing strategies, advertising methods, customer data, and lead generation processes.
Training materials, operations manuals, supplier/vendor lists, and technology platforms.
Intellectual property including trademarks, trade dress, wrap designs, logos, and branding elements.
Any other information designated by the Franchisor as confidential.
Confidential Information does not include information that:a) is or becomes publicly available through no fault of the Prospect,b) was lawfully obtained by the Prospect from a third party without restriction, orc) is independently developed by the Prospect without use of Franchisor’s Confidential Information.
The Prospect agrees to:
Use the Confidential Information solely for evaluating the C4 Mobile Gaming franchise opportunity.
Not disclose, reproduce, or distribute any Confidential Information to third parties without prior written consent of the Franchisor.
Restrict access to Confidential Information only to those individuals who are directly involved in evaluating the franchise opportunity and who are bound by confidentiality obligations.
Immediately notify Franchisor of any unauthorized use or disclosure of Confidential Information.
Upon Franchisor’s request, the Prospect will promptly return or destroy all copies of Confidential Information, whether in physical, digital, or written form.
Nothing in this Agreement grants the Prospect any rights, ownership, or licenses to use the Confidential Information beyond the limited purpose stated. Execution of this Agreement does not obligate either party to enter into a franchise relationship.
This Agreement shall remain in effect for a period of five (5) years from the Effective Date. The obligations of confidentiality shall survive the termination of discussions between the parties.
The Prospect acknowledges that any unauthorized use or disclosure of Confidential Information may cause irreparable harm to the Franchisor. In such cases, the Franchisor shall be entitled to seek injunctive relief in addition to any other remedies available at law or equity.
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
