PROPOSAL FOR NON-EXCLUSIVE FRANCHISE CONSULTING & MARKETING SERVICES

Scope of Services

Klimate Group will serve as a non-exclusive franchise consulting and marketing partner. We will leverage our robust network of:

Franchise consultants and advisors
Industry marketers and influencers
Investor groups and qualified lead channels
Representation at key franchise expos and industry events

Our objective is to help identify, qualify, and close high-quality franchise candidates to expand the C4 Mobile Gaming footprint.

Compensation Structure

Franchise Fee Per Unit: $30,000
Fee Collection: C4 Mobile Gaming shall collect the full franchise fee directly from the franchisee.
Consulting Compensation: For each franchisee sourced and closed by Klimate Group, C4 Mobile Gaming shall disburse a flat $30,000 commission to Klimate Group.
Payment Terms: Payment will be made within 7 business days of C4 Mobile Gaming receiving the full franchise fee from the franchisee.

Klimate Group Responsibilities

Klimate Group will manage and cover all costs related to the following services:

Franchise lead generation and pipeline development
Candidate qualification, vetting, and presentation
Sales process management through Discovery Day and close
Consultant and broker orientation on the C4 brand and offering
Showcasing at franchise expos and events
Influencer outreach and digital lead campaigns

Additional Terms

No Royalties or Equity: Klimate Group will not receive ongoing royalties or equity in C4 Mobile Gaming.
Expansion Clause: Should a franchisee introduced by Klimate Group expand with additional units, Klimate Group shall receive 15,000 per additional unit sold if Klimate Group facilitates the expansion.
Non-Refundable Fees: All franchise fees are non-refundable. C4 Mobile Gaming assumes all operational risk, and Klimate Group bears no liability post-sale.

Term & Termination

This agreement shall remain in effect unless either C4 Mobile Gaming or Klimate Group ceases operations, or Klimate Group misrepresents C4 Mobile Gaming or its business. In the event of termination under these conditions, Klimate Group shall be entitled to compensation for any deals that were both initiated and closed prior to the termination date.

Exclusivity

This agreement is non-exclusive. C4 Mobile Gaming reserves the right to engage other brokers, consultants, or sales teams without restriction.

Indemnification

Klimate Group agrees to represent C4 Mobile Gaming with integrity and professionalism. Klimate Group shall indemnify and hold harmless C4 Mobile Gaming against any claims resulting from misrepresentation or misconduct during the franchise sales process.
