NON-DISCLOSURE AGREEMENT (NDA)
This Agreement is entered into as of by and between:

Disclosing Party:
Ralph Walker (or your business entity, e.g., C4 Mobile Gaming, LLC)

Receiving Party:
 

1. Confidential Information

The Receiving Party agrees to keep confidential any and all information shared by the Disclosing Party, including but not limited to:

• Business plans, strategies, and projections

• Franchise or licensing materials

• Marketing plans, ad scripts, customer data

• Game truck designs, software, media, and documents

• Login credentials or access to internal tools

2. Obligations of Confidentiality

The Receiving Party agrees to:

• Use Confidential Information only for the purpose of completing work assigned by the Disclosing Party

• Not share, sell, or disclose any Confidential Information to third parties

• Take reasonable steps to protect the information from unauthorized use or access

3. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of the Receiving Party

• Was known to the Receiving Party before disclosure

• Is lawfully obtained from another source

4. Duration

This Agreement shall remain in effect during the project and for 2 years after termination of the work relationship.

5. Return or Destruction of Materials

Upon request or at the end of the project, the Receiving Party agrees to return or permanently delete all confidential files.

6. No License or Ownership

Nothing in this Agreement gives the Receiving Party ownership of any intellectual property, content, or brand assets.

7. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Georgia.
