Independent Sales Representative Agreement

C4 MOBILE GAMING SALES REPRESENTATIVE AGREEMENT

This Sales Representative Agreement (“Agreement”) is entered into as of , by and between C4 Mobile Gaming, LLC, a Georgia limited liability company, with principal offices located at 990 Peachtree Industrial Blvd, Suite 2491, Suwanee, GA 30024 (“Company”), and , residing at (“Representative”).

Appointment and Scope

The Company hereby appoints Representative as a non-exclusive independent sales contractor to promote, market, and secure bookings and franchise leads for C4 Mobile Gaming.

Duties and Responsibilities

Representative agrees to:

Generate leads for game truck rentals and franchise opportunities
Close sales and secure bookings using approved C4 methods and materials
Maintain accurate records of leads, calls, and bookings
Represent C4 Mobile Gaming professionally at all times
Comply with all Company brand, pricing, and operational guidelines

Independent Contractor

Representative is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be interpreted as creating an employment relationship, joint venture, or partnership.

Compensation

Commission on Bookings: Representative shall receive per confirmed game truck rental they close.
Commission on Franchise Leads: If Representative sources a lead that closes as a signed franchisee, they will receive upon execution of the Franchise Agreement and receipt of initial franchise fee.
Payments will be made within 15 days of the Company receiving full payment from the customer or franchisee.
No commissions are due on refunds, cancellations, or leads not directly originated and closed by the Representative.

Term and Termination

This Agreement shall begin on the Effective Date and continue month-to-month unless terminated by either party with 14 days’ written notice.
The Company may terminate immediately for breach of this Agreement, unethical conduct, or misrepresentation.

Confidentiality & Non-Disclosure

Representative agrees to keep all Company data, customer information, franchise materials, and pricing confidential during and after the term of this Agreement. A separate NDA may be required.

Non-Solicitation & Non-Compete

For a period of 12 months after termination of this Agreement, Representative agrees not to:

Solicit Company clients for competing mobile gaming services
Use Company trade secrets to compete directly or indirectly
Engage in, or assist in, any mobile game truck or similar service within 75 miles of any C4 territory they served

Intellectual Property

Any materials, presentations, leads, or processes developed by the Representative for use in Company sales remain the sole property of the Company.

Liability and Indemnification

Representative shall not make guarantees or representations not authorized by the Company. Representative agrees to indemnify and hold harmless C4 Mobile Gaming from any legal claims arising from their actions.

Miscellaneous

Governing Law: This Agreement shall be governed by the laws of the State of Georgia.
Entire Agreement: This document represents the full understanding between the parties and supersedes all prior discussions.
Modifications: Must be in writing and signed by both parties.
