WORK-FOR-HIRE NON-DISCLOSURE AGREEMENT

This Agreement is made effective as of, by and between:

C4 Mobile Gaming LLC

(“Company” or “C4 Mobile Gaming”)

Contractor:

(“Contractor”)

1. Confidentiality

Contractor agrees to maintain the strict confidentiality of all proprietary or sensitive information received from C4 Mobile Gaming, including but not limited to operational data, customer lists, financials, business strategies, creative assets, and trade secrets (“Confidential Information”). Contractor shall not disclose or use any Confidential Information except as necessary in the performance of their duties for the Company.

This confidentiality obligation survives the termination of this Agreement.

2. Work-for-Hire

All materials, content, strategies, artwork, code, documents, ideas, concepts, and other intellectual property developed in connection with Contractor’s work for the Company (collectively, “Work Product”) shall be deemed Work-for-Hire. As such:

C4 Mobile Gaming is the sole and exclusive owner of all rights, titles, and interests in the Work Product.
Contractor irrevocably assigns all rights and waives all claims to such Work Product.

3. No License

Nothing in this Agreement gives the Contractor any rights or license to use the Company’s intellectual property, trademarks, logos, processes, or systems beyond the scope of work explicitly defined by the Company.

4. Return of Company Materials

Upon termination of this Agreement or at the Company’s request, Contractor agrees to promptly return or destroy all tangible and electronic materials, documents, and property of the Company, including Confidential Information.

5. Relationship of Parties

Contractor is acting as an independent contractor and not as an employee, agent, partner, or joint venturer of the Company. Contractor shall not represent otherwise in writing or conduct.

6. Term and Survival

This Agreement is effective as of the date signed below and remains in effect indefinitely with respect to all Confidential Information and Work Product created while engaged by the Company.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.

8. Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes all prior discussions or agreements.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
