C4 MOBILE GAMING FRANCHISEE NON-DISCLOSURE AGREEMENT

Effective Date: March 3, 2026

This Agreement is entered into between the following parties:

Franchisor:
C4 Mobile Gaming, LLC
990 Peachtree Industrial BLVD STE 2491 Suwanee GA 30024
(Hereinafter referred to as "Franchisor")

Franchisee:

(Hereinafter referred to as "Franchisee")

1. PURPOSE

The Franchisee acknowledges that they will receive confidential and proprietary information necessary to operate and grow a C4 Mobile Gaming franchise. This Agreement outlines the obligation to protect that information.

2. CONFIDENTIAL INFORMATION

"Confidential Information" includes, but is not limited to:

Business strategies and franchise systems
Training materials and operation manuals
Game truck technology and design
Marketing plans, customer lists, financial models
Vendor, supplier, and pricing structures
Any non-public information disclosed in the course of franchise onboarding and operation

3. FRANCHISEE OBLIGATIONS

The Franchisee agrees to:

Maintain the confidentiality of the information
Use the information only for the purpose of operating the franchise
Not disclose or share information with any third party without written consent from C4 Mobile Gaming
Secure all digital and physical copies of confidential material
Return or destroy all materials upon termination of the franchise relationship or at the request of the Franchisor

4. EXCLUSIONS

This Agreement does not cover information that:

Was already lawfully known by the Franchisee
Becomes publicly available without breach
Is rightfully obtained from another source without confidentiality obligation
Is independently developed without reliance on the Franchisor’s Confidential Information

5. TERM

This Agreement is binding from the Effective Date and continues through the life of the Franchise Agreement and for three (3) years after its termination.

6. REMEDIES

The Franchisee understands that breach of this Agreement may cause serious harm to the Franchisor and agrees that injunctive relief and legal remedies may be pursued.

7. GOVERNING LAW

This Agreement will be governed under the laws of the State of .

8. ENTIRE AGREEMENT

This document represents the full agreement regarding confidentiality and supersedes all prior discussions. No amendments will be valid unless in writing and signed by both parties.
