C4 MOBILE GAMING FREELANCER CONTRACTOR AGREEMENT

This Independent Contractor Agreement (“Agreement”) is made and entered into on this ___ day of _______, 20 by and between:

C4 Mobile Gaming, LLC, a Georgia limited liability company, with its principal place of business at 990 Peachtree Industrial Blvd, Suite 2491, Suwanee, GA 30024 (“Company”),

Scope of Work

Contractor agrees to perform the following services for Company (the “Services”):

Independent Contractor Status

Contractor acknowledges that they are an independent contractor and not an employee, partner, or agent of Company. Contractor shall have no authority to bind Company in any manner.

Compensation

As full compensation for all Services provided under this Agreement, Company agrees to pay Contractor:

Contractor understands and agrees that no additional payments, royalties, residuals, or future compensation will be due now or in the future.

Ownership of Work Product

Contractor agrees that all work product, deliverables, documents, designs, code, video footage, graphics, strategies, ideas, materials, and intellectual property of any kind created under this Agreement (collectively, the “Work Product”) shall be the sole and exclusive property of Company.

Contractor hereby irrevocably assigns, transfers, and conveys to Company all worldwide right, title, and interest in and to the Work Product, including all intellectual property rights therein. Contractor agrees to execute any documents necessary to perfect or enforce Company’s rights in the Work Product.

Waiver of Rights & Future Claims

Contractor expressly and irrevocably waives any and all rights to royalties, future compensation, residuals, or claims of ownership, authorship, or contribution related to the Work Product.

Contractor agrees not to assert any claims or rights against Company, its successors, assigns, licensees, or affiliates regarding the Work Product, including moral rights, creative credit, or future payouts.

Confidentiality

Contractor agrees to maintain the confidentiality of all non-public information related to Company and its business, including trade secrets, designs, plans, and strategies. Contractor shall not disclose such information to any third party without prior written consent from Company.

Non-Solicitation

During the term of this Agreement and for 12 months following its termination, Contractor shall not solicit or attempt to solicit any client, customer, franchisee, or employee of Company for competing services.

Indemnification

Contractor agrees to indemnify, defend, and hold harmless Company from any and all claims, damages, liabilities, and expenses arising out of Contractor’s Services or breach of this Agreement.

Termination

Either party may terminate this Agreement with 7 days’ written notice. In the event of termination, Company shall only be liable for payment of work completed and approved prior to the termination date.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

11.

Entire Agreement

This Agreement constitutes the full understanding of the parties and supersedes all prior agreements or understandings, whether written or oral. Any amendments must be in writing and signed by both parties.
