C4 Mobile Gaming Silent Investor Agreement

This Investor Agreement (“Agreement”) is entered into as of , by and between:

C4 Mobile Gaming, LLC

(“C4” or “Company”)

and

Investor:

(“Investor”)

1. Purpose

This Agreement sets forth the terms under which Investor contributes $80,000 as a silent investment into the C4 Mobile Gaming franchise system. Investor acknowledges that this investment is not the purchase of a truck or tangible asset, but rather a buy-in to the C4 system, entitling Investor to receive a percentage of Net Profits from an assigned C4 Mobile Gaming unit.

2. Nature of Investment

Investor is a silent partner with no operational, managerial, or decision-making authority.
The $80,000 investment secures participation in one C4-operated unit, but does not convey ownership of the truck, trailer, or related assets.
All trucks, trailers, gaming equipment, intellectual property, trademarks, and operating systems remain the sole property of C4 Mobile Gaming, LLC.

3. Payouts & Distributions

Investor shall receive forty percent (40%) of Net Profits generated by the assigned C4 Mobile Gaming unit.
C4 shall retain sixty percent (60%) of Net Profits.
Net Profits are defined as revenues actually received by C4 from the operation of the unit, less all expenses incurred in connection with such operation. These expenses include, but are not limited to:
- Compensation for game truck hosts and other personnel
- Credit card processing and merchant fees
- Fuel, maintenance, and repair costs
- Insurance premiums
- Marketing and advertising expenses
- Storage fees
- Internet and communication costs
- Taxes and licensing fees
- Any additional operating or administrative expenses that C4 deems reasonably necessary to the business
C4 shall have sole discretion over accounting methods, allocation of reserves, and application of expenses in calculating Net Profits.
Investor may elect to receive payouts on a monthly or bi-weekly basis, as set forth in Exhibit A.

4. Investor’s Rights & Limitations

Investor shall not participate in day-to-day operations, hiring, marketing, pricing, or business management decisions.
Investor shall not claim ownership of physical assets, intellectual property, or goodwill of C4.
Investor’s participation is limited solely to receiving financial distributions as outlined in this Agreement.

5. Company’s Rights & Responsibilities

C4 retains exclusive control of all operational decisions, staffing, scheduling, and business strategy.
C4 may reinvest revenues, set aside reserves, or adjust operating practices at its discretion to maintain growth and brand consistency.
C4 will provide Investor with periodic distribution reports in alignment with the chosen payout schedule.

6. Term & Exit

This Agreement shall remain in effect unless terminated by mutual written agreement.
C4 may, at its discretion, offer to buy back the Investor’s position at fair market value or a mutually agreed price.
Investor may not sell, assign, or transfer their position without prior written approval from C4.
For purposes of this Agreement, “Fair Market Value” shall mean the value of the Investor’s interest in the C4 Mobile Gaming unit, as determined solely by C4 Mobile Gaming, LLC, based on:
- The historical and projected financial performance of the unit,
- The condition and expected useful life of equipment and assets,
- Outstanding obligations, reserves, and future expenses, and
- Any other factors C4 reasonably deems relevant to the valuation.
C4’s Determination Final
The Investor expressly agrees that C4’s determination of Fair Market Value shall be final, conclusive, and binding. Investor waives any right to an independent valuation, arbitration, or external appraisal.

7. Confidentiality

Investor agrees to maintain confidentiality of all financial, operational, and proprietary information received from C4 and shall not disclose such information to any third party without prior written consent.

8. Risk & Liability Disclaimer

Investor acknowledges that this investment involves business risks, including but not limited to market fluctuations, operational downtime, and equipment expenses. C4 makes no guarantee of profitability or minimum return. Investor agrees to hold C4 harmless from any losses, claims, or liabilities arising from the operation of the business unit, except in cases of proven fraud or willful misconduct.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.
